These Vendor Terms and Conditions govern your relationship as a vendor (merchant/supplier) on the [Your Platform Name] platform for the delivery of food and groceries in Nigeria. By enrolling as a vendor, you agree to comply with these terms, our Privacy Policy, and any applicable laws and regulations.

  1. Eligibility
    You must be a legally registered business operating in Nigeria.
    You must provide accurate business information (registered name, business address, contact details, bank details for payouts).
    You must hold any required licenses for selling food or groceries and comply with health, safety, and labeling standards.
  2. Account Setup and Verification
    You will create a vendor account and provide necessary documentation for verification (business registration, tax information, relevant permits).
    We may perform ongoing verification to ensure data accuracy and compliance.
    You are responsible for keeping login credentials confidential and notifying us of any unauthorized use.
  3. Listing and Product Compliance
    You are responsible for uploading accurate product information (name, description, price, unit, availability, and images).
    All products must comply with Nigerian consumer laws and labeling standards.
    You must ensure product availability is updated in real time or at least daily to avoid customer disappointments.
  4. Order Processing and Fulfillment
    You must confirm orders promptly and prepare items for delivery within the timeframe specified by the platform.
    You should ensure orders are accurate, properly packaged, and safe for transport.
    If an item is unavailable, you must notify us immediately and offer an equivalent replacement or cancel the item in accordance with policy.
  5. Payments and Payouts
    Payout schedule: Daily.
    You may initiate withdrawal requests from your Wallet at any time.
    Payouts are completed by 11:59 PM on the same day the withdrawal is requested, subject to processing times and payment method.
    Payouts are issued to the bank account or wallet details you have on file, in compliance with applicable AML/KYC requirements.
  6. Wallet and Funds
    The Wallet contains earnings, refunds, and any reserve funds as defined in your merchant agreement.
    You can view real-time balance and transaction history in your vendor dashboard.
    We may hold funds for dispute resolution, refunds, or chargebacks as required.
  7. Refunds and Chargebacks
    Customers may request refunds; we process refunds according to our customer policy.
    Disputes or chargebacks may affect payout timing or fund availability.
  8. Intellectual Property
    You retain ownership of your product content, logos, and branding submitted to the platform.
    You grant us a non-exclusive license to display your product information, images, and branding on the platform for the purpose of offering goods and services to customers.
  9. Compliance and Legal
    You must comply with all applicable Nigerian laws and regulations, including consumer protection, food safety, data privacy, and tax requirements.
    You agree to cooperate with audits, investigations, or compliance checks as required.
  10. Privacy and Data Security
    You must handle customer and user data in accordance with our Privacy Policy and applicable laws.
    Do not collect or share sensitive personal data beyond what is necessary for transaction processing.
  11. Termination
    Either party may terminate the relationship with notice as defined in your merchant agreement.
    Upon termination, you must fulfill outstanding orders and settle any pending financial obligations.
  12. Modifications
    We may update these terms from time to time. We will notify you of material changes as required by law.

Payout Schedule

Frequency: Daily payouts.

Withdrawal eligibility: You may initiate withdrawal requests from your Wallet at any time.

Processing time: Withdrawals completed by 23:59 (11:59 PM) on the same day, subject to verification and payment method.

Refunds/chargebacks: If a payout is reversed due to refunds or chargebacks, the corresponding amount will be adjusted in your Wallet balance.

A) How to Withdraw

In your vendor dashboard, select Withdraw from Wallet.
Enter the amount and confirm the withdrawal.
Choose the payout method (bank transfer or other supported method).
You will receive a confirmation once the withdrawal is processed.

B) Onboarding Checklist (Nigeria-specific)

Register your business with the Corporate Affairs Commission (CAC) and obtain a valid Tax Identification Number (TIN) where applicable.
Provide business address, contact person, and valid phone number.
Submit product samples or catalog, product images, and pricing.
Provide bank or wallet details for payouts.
Complete a KYC/AML check as required.
